Our Governance Structure
Brumas Capital designs a robust governance structure aligned with international best practices in venture capital fund management. Although it is an emerging fund, its governance model aims to project institutional strength, decision-making clarity, and full accountability—both to its investors (LPs) and to the companies in its portfolio.
The fund’s operational management is led by the General Partner (GP), composed of its three founding partners, who bring proven experience in impact investing, agribusiness, sustainability, rural development, and technological innovation. The GP is responsible for executing the fund’s strategy, sourcing and managing investments, engaging with LPs, and overseeing the portfolio.
As a pillar of transparency, Brumas establishes an independent Investment Committee composed of three to five external professionals with recognized expertise in the financial, agricultural, legal, and technology sectors. This committee reviews and approves all investment decisions, ensuring a rigorous, ethical, and technically sound evaluation process. A formal charter governs its operation, voting procedures, and conflict-of-interest protocols.
One of the distinctive features of Brumas’ governance model is the creation of a Technical Portfolio of Experts. This advisory group provides strategic guidance and specialized support to portfolio companies. It operates as a flexible and modular resource, allowing the fund to deliver value beyond capital without increasing fixed operating costs. All members of this network sign confidentiality and professional ethics agreements.
In terms of fiduciary management and compliance, the fund contracts external professional services for auditing, legal and tax compliance, and ESG monitoring. It also establishes clear policies on risk management, anti-money laundering (AML), and performance reporting. LPs receive semiannual financial and impact reports, as well as annual feedback sessions. This governance system ensures trust, alignment of interests, and full institutional traceability.
